1. Introduction and Acceptance

Welcome to Peopls. These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," "your") and Peopls Inc., a Delaware Public Benefit Corporation ("Peopls," "Company," "we," "us," "our").

By downloading, installing, accessing, or using the Peopls mobile application ("App") or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines (available in the app under Help & Support), all of which are incorporated herein by reference.

IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

IMPORTANT ARBITRATION NOTICE: BY USING THE SERVICE, YOU AGREE THAT DISPUTES BETWEEN YOU AND PEOPLS WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS OR JURY TRIALS. Please read Section 15 (Dispute Resolution and Arbitration), Section 23 (Time Limitation on Claims), and Section 24 (Mass Arbitration Procedures) carefully.

We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notification or email at least 30 days before taking effect. Your continued use of the Service after modifications constitutes acceptance of the updated Terms. If you disagree with any changes, you must discontinue use and close your account.

2. Definitions

For the purposes of this Agreement:

  • "Account" means the user account you create to access the Service.
  • "Boost" means a free engagement action that increases a Campaign's visibility.
  • "Campaign" means a fundraising request created by a User through the Service.
  • "Content" means all text, images, videos, audio, and other materials.
  • "Fund Contribution" means a payment made to the Peopls Fund.
  • "Gratitude Post" means thank-you content posted by Campaign creators.
  • "Observer" means a User who has not made a Fund Contribution.
  • "Peopls Fund" means the pooled fund from which Campaign payouts are made.
  • "Platform Fee" means the percentage retained by Peopls from payouts.
  • "Power Vote" means a voting action that allocates funds to a Campaign.
  • "Supporter" means a User who has made an active Fund Contribution.
  • "User Content" means any Content submitted by Users to the Service.
  • "Verification" means identity confirmation through document submission.

3. Eligibility Requirements

3.1 Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

3.2 Legal Capacity

You must have the legal capacity to enter into binding contracts in your jurisdiction. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3.3 Geographic Restrictions

The Service is intended for use in the United States. Users outside the U.S. may access the Service but are responsible for compliance with local laws. We make no representations that the Service is appropriate or available in other locations.

3.4 Prohibited Users

You may not use the Service if you:

  • Are a resident of a country subject to U.S. sanctions
  • Are on any U.S. government prohibited party list
  • Have been previously banned from the Service
  • Are prohibited by law from receiving financial services

3.5 Verification for Campaign Creators

To create a Campaign and receive funds, you must complete our identity verification process, which may include government-issued ID submission and selfie verification.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your Account
  • Immediately notifying us of any unauthorized access or security breach
  • Using strong, unique passwords

4.3 Account Restrictions

You may not:

  • Create multiple Accounts for the same person
  • Share Account credentials with others
  • Transfer or sell your Account
  • Use another User's Account without permission
  • Create Accounts using false or misleading information

4.4 Account Verification

We may require additional verification at any time to ensure Account security or regulatory compliance. Failure to complete verification may result in limited functionality or Account suspension.

4.5 Account Data

We collect and process Account data as described in our Privacy Policy. By creating an Account, you consent to such processing.

5. Description of Service

5.1 Platform Overview

Peopls is a community-driven platform that connects people who need help with people who want to help. Users can create fundraising Campaigns, contribute to the Peopls Fund, and support Campaigns through Power Votes and Boosts.

5.2 Public Benefit Corporation Status

Peopls Inc. is organized as a Delaware Public Benefit Corporation. This means we are legally committed to creating a positive impact on society while operating as a sustainable business. Our specific public benefit purpose is to facilitate community-based mutual aid and enable individuals to help others in need. As a PBC, we balance the interests of our shareholders with the interests of those materially affected by our conduct, including our users and the broader community.

5.3 Observers and Supporters

  • Observers: Users who have not contributed to the Fund receive 10 free Boosts per month. Boosts increase Campaign visibility but do not allocate funds.
  • Supporters: Users who contribute to the Peopls Fund receive 10 Power Votes per month. Power Votes allocate funds from the Peopls Fund to Campaigns.

5.4 Campaigns

Verified Users may create Campaigns to raise funds for legitimate purposes. All Campaigns are subject to moderation before publication.

5.5 Gratitude Posts

Campaign creators who receive support may post Gratitude Posts to thank their supporters.

5.6 Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Service at any time without liability.

5.7 Third-Party Services

The Service integrates with third-party services (payment processors, cloud storage, etc.). Your use of such services is subject to their respective terms.

6. Peopls Fund and Contributions

6.1 Fund Contribution Model

Peopls operates through the Peopls Fund, a pooled fund used to support Campaigns. When you make a Fund Contribution, you are contributing to this collective fund, not directly to any specific Campaign.

6.2 Power Votes

Fund Contributors receive 10 Power Votes per month. When you cast a Power Vote on a Campaign, a portion of the Peopls Fund is allocated to that Campaign. Power Votes reset monthly.

6.3 Boosts

All Users receive 10 free Boosts per month. Boosts increase Campaign visibility in the feed but do not allocate any funds. Boosts reset monthly.

6.4 Nature of Contributions

Fund Contributions are:

  • Voluntary and non-refundable (except as required by law or in cases of fraud)
  • Not tax-deductible charitable donations (Peopls is a Public Benefit Corporation, not a 501(c)(3) nonprofit)
  • Pooled with other contributions in the Peopls Fund
  • Subject to allocation through the Power Vote mechanism

6.5 No Guarantee of Use

You acknowledge that:

  • You have no control over how Campaign creators ultimately use funds
  • Peopls does not guarantee funds will be used as stated in Campaigns
  • Contributions are at your own risk

6.6 Payment Processing

All payments are processed by Stripe, Inc. or other authorized payment processors. By making a contribution, you agree to their terms of service and authorize the applicable charges.

6.7 Unused Power Votes and Community Fund

If you do not use all your Power Votes before the end of your monthly period:

  • Unused Power Votes are transferred to the Community Fund
  • The Community Fund is managed by Peopls at its sole discretion
  • You acknowledge that unused votes become part of the pooled Community Fund
  • No refunds or credits are provided for unused Power Votes

6.8 Community Fund Distribution

The Community Fund is distributed to Campaigns as follows:

  • Peopls periodically allocates Community Fund resources to eligible Campaigns
  • Campaigns nearing their funding goals (typically 90%+ progress) may receive priority
  • Distribution is based on Campaign ranking, engagement, and other factors determined by Peopls
  • Peopls has sole discretion over Community Fund allocation timing and amounts
  • This mechanism ensures that all contributions ultimately support the community, even if individual Users do not cast all their votes

6.9 Delegatable Votes (Pay It Forward)

When your Campaign receives Power Votes from others:

  • You receive an equivalent number of Delegatable Votes
  • Delegatable Votes can be used to support other Campaigns
  • This allows Campaign creators to "pay it forward" and help others in need
  • Delegatable Votes do not expire while your Account remains active
  • Using Delegatable Votes does not affect your available funds for withdrawal

6.10 Alternative to Withdrawal

If you decide not to withdraw funds from your Campaign:

  • You may use your Delegatable Votes to support other Campaigns
  • Funds not withdrawn within 120 days are subject to Section 21 (Fund Withdrawal Requirements)
  • There is no obligation to withdraw; you may choose to redirect support to others
  • This feature enables a cycle of mutual aid within the Peopls community

7. Campaign Creation and Management

7.1 Eligibility to Create Campaigns

To create a Campaign, you must:

  • Have a verified Account with completed identity verification
  • Provide accurate personal information
  • Have a profile bio of at least 100 characters
  • Accept these Terms and Community Guidelines
  • Not have any active violations or pending investigations

7.2 Campaign Requirements

All Campaigns must:

  • Have a truthful, accurate description of the need
  • Set a reasonable fundraising goal (minimum and maximum limits apply)
  • Include authentic media (photos/videos) that accurately represent the situation
  • Comply with all applicable laws and regulations
  • Not misrepresent facts or deceive potential supporters

7.3 Campaign Moderation

  • All Campaigns with video content undergo moderation before publication
  • We may approve, reject, or request modifications to any Campaign
  • We may remove published Campaigns that violate these Terms
  • Moderation decisions are at our sole discretion
  • We are not obligated to provide reasons for rejection

7.4 Campaign Creator Responsibilities

As a Campaign creator, you:

  • Are solely responsible for the accuracy of Campaign information
  • Must use received funds for the stated purpose
  • Must comply with all tax reporting requirements
  • Must not create fraudulent or misleading Campaigns
  • Agree to post Gratitude content upon successful funding (optional but encouraged)

7.5 Prohibited Campaigns

The following Campaign types are strictly prohibited:

  • Illegal activities, products, or services
  • Weapons, ammunition, explosives, or related items
  • Controlled substances, drugs, or drug paraphernalia
  • Gambling, lotteries, or games of chance
  • Pornographic, obscene, or sexually explicit content
  • Hate speech, discrimination, or harassment
  • Political campaigns or lobbying activities
  • Pyramid schemes, MLM, or "get rich quick" schemes
  • Campaigns that infringe third-party intellectual property
  • Campaigns benefiting sanctioned individuals or entities
  • Medical treatments not approved by relevant authorities
  • Any content that violates applicable laws

7.6 Early Campaign Closure

You may close your Campaign at any time before reaching your fundraising goal:

  • To close your Campaign, use the "Close Fundraiser" option in your Profile
  • You can only close a Campaign that has received at least one vote
  • Closing is irreversible — your Campaign cannot be reopened
  • Upon closure, your Campaign status changes to "Funded"

7.7 Effect of Early Closure

When you close a Campaign early:

  • All votes received remain credited to your Account as Delegatable Votes
  • You may withdraw available funds (subject to minimum withdrawal threshold and 120-day policy)
  • Alternatively, you may use Delegatable Votes to support other Campaigns
  • The 5% Platform Fee still applies to any withdrawals
  • You are encouraged (but not required) to post a Gratitude update explaining the closure

7.8 Reasons for Early Closure

Common legitimate reasons for early closure include:

  • Your need has been met through other means
  • Circumstances have changed and funds are no longer needed
  • You wish to redirect support to others in greater need
  • The Campaign goal was set too high

You are not required to provide a reason for closing, but transparency with your supporters is encouraged.

8. Payouts and Withdrawals

8.1 Eligibility for Payouts

To receive funds from your Campaign, you must:

  • Have a verified Account with completed identity verification
  • Provide valid banking information or payment account
  • Reach the minimum payout threshold
  • Not have any pending violations or investigations
  • Comply with all applicable tax requirements

8.2 Platform Fee

Peopls retains a 5% Platform Fee from all payouts to cover operational costs, payment processing, fraud prevention, and platform maintenance. This fee is deducted from the gross amount before payout.

8.3 Payment Processing Fees

Additional payment processing fees may apply depending on your chosen payout method. These fees are set by third-party payment processors and are not controlled by Peopls.

8.4 Payout Timeline

  • Standard payouts are processed within 3-5 business days
  • First-time payouts may require additional verification (up to 14 days)
  • We reserve the right to delay payouts for fraud investigation
  • Payouts are made to the verified Account holder only

8.5 Holds and Delays

We may place holds on payouts if:

  • We suspect fraudulent activity
  • The Campaign is under investigation
  • Required information is incomplete
  • We receive complaints about the Campaign
  • Legal or regulatory requirements demand it

8.6 Tax Responsibilities

You are solely responsible for:

  • Reporting all funds received as income (if applicable)
  • Paying all applicable federal, state, and local taxes
  • Maintaining accurate records of funds received
  • Providing valid tax identification information (SSN/EIN)

We may issue IRS Form 1099-K or other tax documents as required by law.

9. User Content and Conduct

9.1 User Content License

By submitting Content to the Service, you grant Peopls a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content in connection with operating and promoting the Service.

9.2 Content Ownership

You retain ownership of your User Content. However, you represent and warrant that:

  • You own or have rights to all Content you submit
  • Your Content does not infringe any third-party rights
  • Your Content complies with these Terms and applicable laws

9.3 Content Standards

User Content must NOT:

  • Be false, misleading, or deceptive
  • Infringe intellectual property rights (copyright, trademark, etc.)
  • Violate privacy or publicity rights
  • Contain defamatory, libelous, or slanderous material
  • Include hate speech, threats, or harassment
  • Contain obscene, pornographic, or sexually explicit material
  • Promote violence, illegal activities, or self-harm
  • Include malware, viruses, or harmful code
  • Violate any applicable law or regulation

9.4 Content Removal

We reserve the right to remove any Content that violates these Terms without prior notice. We are not obligated to monitor all Content but may do so at our discretion.

9.5 Prohibited Conduct

You agree NOT to:

  • Violate any applicable law, regulation, or third-party rights
  • Use the Service for any illegal or unauthorized purpose
  • Impersonate any person or entity
  • Provide false or misleading information
  • Engage in fraud, money laundering, or terrorist financing
  • Harass, abuse, or harm other Users
  • Spam, phish, or send unsolicited communications
  • Attempt to gain unauthorized access to accounts or systems
  • Interfere with or disrupt the Service or servers
  • Use bots, scrapers, or automated systems without permission
  • Circumvent security measures or access restrictions
  • Collect User information without consent
  • Create multiple accounts to evade restrictions or abuse the system
  • Manipulate votes, engagement, or Campaign rankings

10. Intellectual Property Rights

10.1 Peopls Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and trade dress, is owned by Peopls Inc. and protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

10.2 Restrictions

You may NOT:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use our trademarks without prior written permission
  • Frame or mirror any part of the Service
  • Use the Service to develop competing products

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or attribution.

10.4 DMCA Notice

If you believe your copyrighted work has been infringed, please send a notice to our designated Copyright Agent at: info@peopls.app

Your notice must include:

  • Your physical or electronic signature
  • Identification of the copyrighted work
  • Identification of the infringing material and its location
  • Your contact information
  • A statement of good faith belief
  • A statement of accuracy under penalty of perjury

11. Privacy and Data Protection

11.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11.2 Data Collection

By using the Service, you consent to the collection, processing, and storage of your personal data as described in our Privacy Policy, including:

  • Account information (name, email, phone)
  • Identity verification documents
  • Payment and transaction information
  • Device and usage data
  • Location data (with your permission)

11.3 Data Security

We implement reasonable security measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

11.4 California Residents (CCPA)

California residents have specific rights regarding their personal information. Please refer to our Privacy Policy for details on how to exercise these rights.

11.5 International Users

If you access the Service from outside the United States, you consent to the transfer of your data to the U.S., which may have different data protection laws than your country.

12. Disclaimers

12.1 "AS IS" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

12.2 No Guarantee

WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained will be accurate or reliable
  • Any errors will be corrected
  • The Service will meet your requirements

12.3 Campaign Disclaimers

WE DO NOT GUARANTEE:

  • The accuracy, truthfulness, or completeness of Campaign information
  • That Campaign creators will use funds as stated
  • The success or outcome of any Campaign
  • The identity or legitimacy of any User

12.4 Third-Party Content

We are not responsible for third-party content, including User Content, external links, or third-party services integrated with the Service.

12.5 Assumption of Risk

You acknowledge that:

  • Supporting Campaigns involves risk
  • You may not receive goods, services, or outcomes promised by Campaign creators
  • Peopls acts only as a platform and is not a party to transactions between Users

SOME JURISDICTIONS DO NOT ALLOW DISCLAIMER OF IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEOPLS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY DAMAGES RESULTING FROM SERVICE INTERRUPTION, UNAUTHORIZED ACCESS, OR DATA LOSS
  • ANY DAMAGES ARISING FROM THIRD-PARTY CONDUCT OR CONTENT
  • ANY DAMAGES EXCEEDING THE AMOUNTS YOU PAID TO PEOPLS IN THE 12 MONTHS PRECEDING THE CLAIM

13.2 Cap on Liability

OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS ($100), OR
  • THE TOTAL AMOUNT YOU PAID TO PEOPLS IN THE 12 MONTHS PRECEDING THE CLAIM

13.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PEOPLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.4 Essential Purpose

THE PARTIES AGREE THAT THESE LIMITATIONS ARE ESSENTIAL TO THE AGREEMENT AND THAT PEOPLS WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT THEM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

14.1 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless Peopls Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights
  • Your User Content
  • Your Campaign or use of received funds
  • Any misrepresentation made by you
  • Any dispute between you and another User

14.2 Defense and Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense. You may not settle any claim without our prior written consent.

14.3 Notice

We will provide you reasonable notice of any claim subject to indemnification, and you agree to cooperate with all reasonable requests in our defense.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Informal Resolution Required

Before filing any arbitration or legal action, you MUST first contact us at info@peopls.app and attempt to resolve the dispute informally for at least 60 days. Your notice must include your name, Account email, a description of the dispute, and the relief you seek. We will try to resolve the dispute in good faith. This requirement must be satisfied before commencing arbitration.

15.2 Binding Arbitration Agreement

If informal resolution fails, any dispute arising out of or relating to these Terms, the Service, your Account, Campaigns, contributions, or any aspect of your relationship with Peopls shall be resolved by BINDING INDIVIDUAL ARBITRATION rather than in court.

The Federal Arbitration Act governs this agreement. The arbitrator has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this arbitration agreement.

15.3 CLASS ACTION AND JURY TRIAL WAIVER

YOU AND PEOPLS AGREE THAT:

  • ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS
  • YOU WAIVE YOUR RIGHT TO A JURY TRIAL
  • YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE ACTIONS
  • THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING

15.4 Arbitration Rules and Procedures

Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules (or Consumer Arbitration Rules if applicable). The arbitration shall take place in San Francisco County, California, or remotely via video/phone at our mutual option.

Filing fees and arbitrator compensation will be governed by JAMS rules. For claims under $10,000, we will pay all filing fees and arbitrator costs. For claims over $10,000, costs will be allocated per JAMS rules.

15.5 Mass Arbitration

If 25 or more similar arbitration demands are filed against Peopls, special Mass Arbitration procedures apply. See Section 24 for details.

15.6 Time Limitation

Claims must be filed within ONE (1) YEAR of when the claim arose. See Section 23 for details.

15.7 Small Claims Exception

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction, provided the action remains individual and is not removed to a different court.

15.8 Injunctive Relief

Either party may seek injunctive or other equitable relief in court for intellectual property infringement or to protect confidential information, without waiving arbitration rights for other claims.

15.9 Opt-Out Right

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to: Peopls Inc., Attn: Arbitration Opt-Out, 16192 Coastal Highway, Lewes, DE 19958, or by email to info@peopls.app with subject line "Arbitration Opt-Out". Your notice must include your name, Account email, and a clear statement of your intent to opt out. If you opt out, you may still bring claims in court in San Francisco, California.

15.10 Confidentiality

All arbitration proceedings, including any settlement offers or amounts, are confidential unless disclosure is required by law or to enforce the arbitration award.

15.11 Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

15.12 Venue

For disputes not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in San Francisco County, California.

15.13 Severability

If any part of this arbitration agreement is found unenforceable, the remaining provisions continue in effect. If the class action waiver is found unenforceable for a particular claim, that claim (and only that claim) may proceed in court.

16. Termination

16.1 Termination by You

You may terminate your Account at any time by:

  • Using the account deletion feature in Settings
  • Contacting us at info@peopls.app

Account termination does not affect any rights or obligations accrued before termination.

16.2 Termination by Peopls

We may suspend or terminate your Account immediately, without prior notice, if:

  • You violate these Terms
  • We suspect fraudulent, illegal, or abusive activity
  • We receive valid legal demands requiring termination
  • You pose a security risk to the Service or other Users
  • Your Account remains inactive for an extended period
  • Continued operation of your Account would violate applicable law

16.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • We may delete your Account data (subject to legal retention requirements)
  • Any pending payouts may be withheld pending investigation
  • Unused Boosts and Power Votes are forfeited
  • You remain liable for any obligations incurred before termination

16.4 Survival

The following sections survive termination: Definitions, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature should survive.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Peopls regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.5 Notices

We may provide notices via email, in-app notification, or posting on the Service. You may send notices to: info@peopls.app

17.6 Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, riots, government actions, pandemics, or internet/power outages.

17.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Peopls.

17.8 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.9 Export Compliance

You agree to comply with all applicable U.S. export laws and regulations.

17.10 Government Users

If you are a U.S. government entity, the Service is provided with "restricted rights" as defined in applicable regulations.

18. Mobile Services and Communications

18.1 Mobile Services

The Service includes features available via mobile devices, including the ability to upload content, browse Campaigns, and access features through our mobile application. Your wireless carrier's standard charges, data rates, and other fees may apply.

18.2 Push Notifications

By using the Service, you agree that we may send push notifications to your device regarding Campaign updates and milestones, votes and support received, account and security alerts, and service announcements. You may disable push notifications in your device settings at any time.

18.3 SMS/Text Messages

If you provide your phone number for Account verification or enable SMS notifications, you agree to receive automated and non-automated text messages from Peopls. Message and data rates may apply. To opt out: reply STOP, disable in Account settings, or contact info@peopls.app. You cannot opt out of security-related SMS (e.g., verification codes) while maintaining an active Account.

18.4 Email Communications

By creating an Account, you consent to receive transactional emails, service-related announcements, and marketing communications (which you may opt out of).

18.5 Phone Number Changes

If you change or deactivate your phone number, you must promptly update your Account information.

19. Apple-Enabled Software

If you use our app on an Apple device: These Terms are between you and Peopls only, not Apple. Peopls is solely responsible for the app and its content. Your license is non-transferable and limited to the Usage Rules in the Apple App Store Terms of Service. Apple has no obligation to provide maintenance or support. Apple has no warranty obligation. Peopls is responsible for addressing claims relating to the app. You represent that you are not in a country subject to U.S. embargo and are not on a U.S. prohibited parties list. Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the Apple-Enabled Software. For questions or claims regarding the app, contact: Peopls Inc., info@peopls.app

20. Chargebacks, Returns, and Disputes

20.1 Chargeback Policy

If a contributor disputes a charge with their bank or card issuer ("Chargeback"), we will cooperate with payment processors to investigate. Funds may be held or reversed pending resolution. Contributors who initiate chargebacks may lose eligibility for platform guarantees.

20.2 Defending Chargebacks

We will defend chargebacks when the contribution was properly authorized and the contributor received what was described (a way to support Campaigns). "Goods not received" is not applicable as contributions are not purchases of goods.

20.3 Impact on Campaign Creators

If a chargeback is successful, the disputed amount will be deducted from your available funds. If insufficient funds exist, your Account may have a negative balance. Repeated chargebacks may result in Account suspension.

20.4 No Refunds Policy

Fund Contributions are generally non-refundable because they go to the Peopls Fund (pooled), funds may have already been allocated, and this is stated before each contribution.

20.5 Exceptions

Refunds may be issued at our sole discretion in cases of unauthorized transactions (fraud), technical errors, legal requirements, or verified Campaign creator misconduct.

20.6 Dispute Resolution with Other Users

Disputes between you and other Users are solely between those parties. Peopls is not obligated to mediate but may do so at our discretion.

21. Fund Withdrawal Requirements

21.1 Withdrawal Timeframe

Campaign creators must initiate withdrawal of available funds within ONE HUNDRED TWENTY (120) DAYS from the date funds become available.

21.2 Consequences of Non-Withdrawal

If you do not withdraw within 120 days, funds may be subject to escheatment under state unclaimed property laws. We may attempt to contact you before taking action. Escheated funds must be claimed through the appropriate government authority. We are not liable for funds escheated due to your inaction.

21.3 Inactive Accounts

If your Account remains inactive, we may send reminders, close the Account after reasonable notice, and handle unclaimed funds according to applicable law.

21.4 Minimum Withdrawal Amount

A minimum withdrawal threshold may apply. You are responsible for providing accurate banking information, updating it if it changes, and for tax reporting of received funds.

22. Content Moderation and Reporting

We use automated systems, human review, and user reports to moderate content. All Campaigns are reviewed before publication. We may approve, request modifications, reject, or remove Campaigns. If you believe content violates our Terms, use the Report button or email info@peopls.app. If your Campaign or Account is suspended, you may appeal by emailing info@peopls.app within 30 days; we will respond within 10 business days. Our decision on appeal is final. We may disclose User information to law enforcement when required by valid legal process or to protect safety.

23. Time Limitation on Claims

YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE. ANY CLAIM NOT FILED WITHIN THIS ONE-YEAR PERIOD SHALL BE PERMANENTLY BARRED AND WAIVED. This applies to contract, tort, statutory, and other claims. The period begins when the claim accrues (when you knew or reasonably should have known of the facts giving rise to the claim). This limitation does not apply where prohibited by law.

24. Mass Arbitration Procedures

"Mass Arbitration" occurs when 25 or more similar arbitration demands are filed against Peopls within 60 days with the same or coordinated counsel. In that event: claims will be batched (no more than 25 per batch); initial batches selected by both parties; remaining claims stayed; global mediation may occur before additional batches; statute of limitations tolled for stayed claims. All claims remain individual (no class/collective/representative arbitration). You agree to cooperate in good faith with these procedures.

25. Peopls Support Commitment

As a Public Benefit Corporation, Peopls is committed to operating transparently, protecting the community from fraud, and providing fair support. We prevent fraud through identity verification, Campaign review, and monitoring. If you believe a Campaign is fraudulent, report via the app or email; we will investigate. We cannot guarantee all Campaigns are legitimate or that funds will be used as stated; we are not liable for Campaign creator misconduct. Contributions are voluntary and at your own risk.
